Privately held, $40M contractual healthcare staffing business interested in exploring a valuable exit.
Situation
After working with this client for a year, the 62-year-old Owner expressed a desire to explore the option of selling the business, but was unaware of how to go about doing that.
Actions Taken
Through detailed conversations the Owner and the CFO determined that the probable net entity value was sufficient to meet the retirement goals of the Owner’s family. The Owner then enhanced the statement of work to quarterback the sale of the business. The CFO pulled together a specialized team of external advisors to execute sale, including an M&A attorney, a CPA with M&A experience, an investment banker with specific industry experience and a personal wealth advisor for the Owner and his family. This team, in conjunction with the Owner and a select few members of the management team worked intimately for over a year to source several buyers, host due diligence, negotiate and execute a sale agreement.
Results
Successful stock sale of the business with no earn-out for the seller. Due to the competitive process, the value exceeded original estimates. The Owner successfully retired and relocated to the Coast.
